Deal StructureThe deal structure is a typical one for this kind of acquisition being a share acquisition rather than an asset purchase, with Bangchak acquiring the entire issued share capital of CHK pursuant to a Share Purchase Agreement. Bangchak financed the acquisition through a combination of loan facilities and internal cash resources, with no share-for-share or equity consideration component reported.
