Job Title:Mid-Level Private Equity Debt Finance Associate Attorney Job Overview:A Los Angeles-based law firm is seeking a mid-level associate to join its sophisticated finance practice. The role centers on representing institutional investors and lending entities in complex financing arrangements, particularly those tied to private equity transactions, such as leveraged buyouts and acquisition-related funding. The ideal candidate will bring hands-on experience with structuring credit facilities, negotiating transaction documentation, and managing all stages of secured lending deals. Duties: Collaborate with private equity sponsors, direct lenders, and financial institutions on a range of financing transactionsDraft and negotiate loan documentation, including commitment letters, credit agreements, and security instrumentsConduct legal due diligence and assist with deal structuring and closingsCoordinate with internal teams and external parties to ensure seamless execution of transactionsAdvise clients on legal risks, mitigation strategies, and compliance issues related to finance agreements Requirements: Relevant experience within a debt finance or private equity finance practiceDemonstrated experience in sponsor-backed leveraged transactions and acquisition financingProven ability to manage complex deal timelines and multiple stakeholdersStrong drafting, negotiation, and analytical skillsMember in good standing of a U.S. State Bar, with the ability to gain admission in California if not already admitted Education: Juris Doctor (J.D.) from an accredited law school Certifications: Admission to a State Bar in the United States (California preferred or ability to promptly obtain admission) Skills: Exceptional verbal and written communication abilitiesDetail-oriented with a strong commitment to delivering high-quality legal servicesCapable of working effectively both independently and as part of a collaborative teamSound judgment and the ability to prioritize competing deadlines Job Location: Los Angeles, CA
